Privy Personal Term of Use
Effective Date: July 20th, 2026
Welcome to Privy! Thank you for your interest in using Privy Platform. Privy provides various types of services, therefore some additional terms and conditions may apply when the User uses the Privy Services. By creating a Privy Account and/or using Privy Platform, the User acknowledges that they have read, understood, and agreed to these terms of use (“Terms of Use”).
These Terms of Use may be changed or updated either partially or wholly from time to time without prior notification to the User and will take effect from the time uploaded on the Site and/or at the time the User agrees to this Terms of Use. We recommend that User check the Site for any changes to these Terms of Use from time to time.
By continuing to access or use the Privy Services, the User is deemed to agree to changes to these Terms of Use. If the User does not agree to the changes on the Terms of Use, the User can contact Privy to terminate the Privy Account.
These Terms of Use contain an agreement between Privy and the User. Please read these Terms of Use carefully!
1.Definitions
Each word that starts with a capital letter has the following meaning:
- “Admin” refers to the definition set out in the Enterprise Suite Service Terms of Use.
- “Appstore” is an application distribution platform for iOS Apple operation system developed and managed by the multinational technology company Apple Inc.
- “Digital Identity” refers to Electronic Information based on an Electronic Certificate containing the unique identity of a legal subject, the use of which is under the control of the legal subject associated with such identity.
- “Document” means any Electronic Document voluntarily provided or uploaded by the User to the PrivyPal feature for the purpose of generating summaries or enabling text-based interactions, whether or not such Electronic Document has been processed within the Privy system for Electronic Signature purposes.
- “Electronic Certificate” means a certificate issued and/or provided by Privy that is electronic in nature and contains an Electronic Signature and Digital Identity that indicates a legal subject or party in an Electronic Transaction.
- "Electronic Document" means any Electronic Information, including but not limited to Electronic Contracts, created, forwarded, sent, received, or stored in analog, digital, electromagnetic, optical, or the like, which can be seen, displayed, and/or heard through a computer or electronic system, including but not limited to writings, sounds, images, maps, designs, photographs or the like, letters, signs, numbers, access codes, symbols or perforations that have meaning or can be understood by a person capable of understanding it.
- "Electronic Information" means one or a set of electronic data, including but not limited to writing, sound, images, maps, designs, photographs, Electronic Data Interchange (EDI), electronic mail (e-mail), telegram, telex, telecopy, or the like processed letters, signs, numbers, access codes, symbols, or perforations that have meaning or can be understood by persons capable of understanding them.
- "Electronic Seal" is electronic data embedded, associated or related to Electronic Information and/or Documents that guarantees the origin, integrity and authenticity of Electronic Information and/or Electronic Documents used by Business Entities created with Privy Services.
- “Electronic Signature” means a signature consisting of Electronic Information that is embedded, associated, or related to other Electronic Information used as a verification and authentication tool created with the Privy Services.
- "Electronic Transaction" means a legal action carried out using a computer, computer network, and/or other electronic media.
- “Employee Account” refers to the definition set out in the Enterprise Suite Service Terms of Use.
- “Enterprise Suite Service” means the services provided by Privy for use by legal entities, business entities, or other organizations, as further governed under Enterprise Suite Services's Terms of Use.
- “Enterprise Suite Service Terms Of Use” is a document that regulates Privy's enterprise suite services, as available on the Privy Site and/or Application.
- “Google Play Store” is a digital distribution service operated and developed by Google that functions as the official app store for the Android operating system.
- “File Access Bridge” or “File Access Bridge Services” means a feature available on the Privy Platform that enables Users to connect their Third-Party cloud storage accounts to the Privy Platform for the purpose of importing Electronic Documents.
- “Owner” refers to the definition set out in the Enterprise Suite Service Terms of Use.
- “Personal Data” is any data about a person either identified and/or can be identified separately or in combination with other information either directly or indirectly through electronic and/or non-electronic systems that identifies or can be used to identify individuals, alone or in combination with other data/information, directly or indirectly, in electronic and/or non-electronic systems, which are divided into Specific/Sensitive Personal Data and General Personal Data.
- “Personal Digital Certificate” is an Electronic Certificate issued by verifying in accordance with the provisions of laws and regulations.
- “Privy” or “We” means PT Privy Digital Identity and/or subsidiaries, affiliated companies with direct or indirect relationships with PT. Privy Identitas Digital.
- “Privy Account” is any account issued by Privy, under the name PrivyID, each account owner will be given a userID, will choose a password, and store their Personal Data.
- “Privy Application” means mobile applications that can be accessed through website and mobile phones (mobile apps) operated by PT Privy Identity Digital.
- “PrivyChat” or "PrivyChat Service" is a communication service between Users that can be used on the Privy Platform, which is an integral part of the Privy Services.
- “PrivyID” means an alphanumeric code issued by Privy, which can be associated with a unique name (username), to identify The User using Privy Services.
- “PrivyPal” or “PrivyPal Services” means an artificial intelligence (AI)-powered assistant feature provided by Privy to help Users understand the contents of Electronic Documents through summarization and text-based interaction functionalities.
- "PrivyPass" or the "PrivyPass Service" refers to a Digital Identity service that facilitates the remote, non-face-to-face verification and authentication of a User’s identity using PrivyID.
- "Privy Platform" refers to the Site and Privy Application, which can be accessed via the User's computer and/or mobile devices.
- "Privy Personal Plan" is a subscription package for Users to be able to use features on the Privy Platform, including but not limited to using PrivySign on the Privy Platform and/or Third-Party platforms.
- “Privy Services” means the Electronic Certificate issuance service, PrivySign, Privy Document Management System, PrivyPass, Electronic Seal, PrivyChat and/or other Privy services declared by Privy from time to time, either through the Privy Site or Application.
- “PrivySign” or “PrivySign Service” means the Electronic Certificate and, certified Electronic Signature, registered electronic delivery service, with the available features, which can be used on the Privy Site or Application provided by Privy for the User.
- “Public Digital Certificate” is an Electronic Certificate that can be used by Users by verifying e-mail information and telephone numbers.
- “Site” means any URL that uses the domain with the address https://privy.id or any other site as stated by Privy from time to time.
- “Third-Party” is an individual, legal entity, and/or business entity that cooperates with Privy and can be proven by a document that binds the rights and obligations of each party.
- “Uniform Resource Locator” or “URL”, is a series of listed websites, containing folder names, language protocols, and so on.
- “User” or “You” means every individual including but not limited to an Indonesian Citizens (WNI) and/or Foreign Citizens (WNA), or legal entity/business entity, that accesses the Privy Platform and/or uses the Privy Services.
2.Privy Account Registration
- To be able to use Privy Services, The User can access the Site or download the Privy Application and register to create a PrivyID and/or Privy Account. Registration can be done through the Privy Apps or through merchants collaborating with Privy. For convenience in using Privy Services, The User is required to download the Privy Application only from the Appstore (if the User uses an iOS mobile operating system) or Google Play Store (if the User uses an Android phone operating system) and Privy urges the User to always install the latest updates available for the Privy Application.
- To create a PrivyID and/or Privy Account, The User may be asked to provide Privy with some information and User’s Personal Data. In connection with the creation of a Privy Account and the use of Privy Services, the User agrees to provide Privy information and Personal Data correctly, clearly, accurately, and thoroughly when requested. Personal Data including but not limited to, information such as the national identification number (NIK), full name, place and date of birth, and/or a copy of Identity Card (KTP) issued by the authorized Indonesian government. Privy can request information and/or other supporting documents including but not limited to Family Cards (KK), Driver's License (SIM), Passports, Temporary Stay Permit Cards (KITAS) and/or certificates from the company as supporting documents for the identification and authentication process of Electronic Certificate applications (including the information contained therein) and/or the need to use other features on the Privy Platform such as cell phone number, electronic mail address, biometric data (face recording or selfie), IP Address, login information, geolocation, phonebook access and browser version. The User will immediately update the information and Personal Data that the User has provided to Privy to keep the information and Personal Data true, accurate, and complete from time to time. Changes, additions, or updates to such information and Personal Data can be made in accordance with these Terms of Use. Privy has the right to verify changes, additions, or updates to such information and Personal Data in accordance with Privy's procedures.
- Specifically for the use of Digital Identity, the Personal Data requested includes the data required for the creation of a Privy Account and the issuance of an Electronic Certificate as referred to in point b of this section, as well as additional data that is relevant and required by Privy and/or any Third Party utilizing Privy’s Digital Identity services, including but not limited to the user’s mother’s maiden name.
- The User is obligated to promptly update any information and Personal Data previously provided to Privy to ensure that such information and Personal Data remains true, accurate, and complete from time to time. Any changes, additions, or updates to such information and Personal Data may be made by submitting a notification to Privy through Privy’s contact channels in accordance with these Terms of Use. Privy reserves the right to verify any changes, additions, or updates to such information and Personal Data in accordance with Privy’s procedures.
- If the User provides a statement, guarantee, information, or Personal Data that is untrue, unclear, inaccurate, or incomplete, then Privy has the right to reject the application for PrivyID issuance and/or creation of a Privy Account and suspend or terminate part or all of the Privy Services provided to User.
- User is responsible for all activities and consequences that arise in connection with the use of PrivyID, Privy Accounts, physical access to the device used to access the Privy Services, and/or the User’s password, and the User is obliged to maintain the confidentiality of User’s passwords with great care. All activities carried out using the PrivyID and/or User's Privy Account are considered activities that have been carried out by the holder of the Privy Account. The User is responsible for all losses and legal consequences arising from the User error or negligence in maintaining the confidentiality of the User's Privy Account password. The User must immediately notify Privy of any alleged or unauthorized use of PrivyID, Privy Account, and/or password or security threats.
- Privy issues Electronic Certificates for each Privy Account and each Electronic Certificate issued by Privy is subject to the terms of use of electronic certificates consisting of:
- Certificate Practice Statement (CPS);
- Warranty Policy;
- Relying Party Agreement;
- Subscriber Agreement; and
- Personal Data Protection Notice (formerly referred to as the “Privacy Notice”).
All such documents can be accessed via https://repository.privyca.id/, and form an integral and inseparable part of these Terms of Use. By agreeing to these Terms of Use, the User states that they have read and agreed to the documents referred to in this section.
3.Use of Privy Account
- The User may not transfer the User's Privy Account to any party.
- Users can use their Privy Account in accordance with the verification process that has been successfully carried out.
- The use of User Personal Data Processing in connection with the use of the Privy Account and Privy Services is subject to the provisions stipulated in Privy's Privacy Notice as available at the Personal Data Protection Notice.
- Privy can use, process and/or disclose User Personal Data in order to comply with the provisions of laws and regulations, in the context of law enforcement processes or taking further preventive measures in connection with unauthorized activities, suspected criminal acts or violations of laws or regulations. Before the use of such processing or disclosure, Privy will ask law enforcement officials to provide a letter requesting the use or disclosure of Personal Data. The User releases and releases Privy from all claims, demands, and damages that may arise in connection with the use or disclosure.
- Privy has the right at any time to change or cut off access to part or all of Privy's Services temporarily in the event that further repair and/or management is needed in order to improve service to Users or in the event of suspected data leakage or security threats without prior notice to Users.
- In using the Privy Account and Privy Services, the User agrees to comply with all legal provisions and laws and regulations in the applicable jurisdiction where the Privy Account or Privy Services are accessed or used.
- The User understands that all communications and instructions including but not limited to entering passwords, One Time Password (OTP), tick clicks, changes, deletions to cancellations from Users received by Privy will be treated as evidence even though they are not made in the form of written documents or wet signatures, and Users agree to release Privy from all claims, demands, and compensation that may arise in connection with the implementation of instructions User.
4.Use of Privy Services
- PrivySign Service
- Only User with PrivyID and/or Privy Accounts can be using PrivySign.
- When using the PrivySign Service, the User can choose to use a personal account or Employee Account registered with the Enterprise Suite Service.
- In the event that the User holds an Electronic Certificate affiliated with a legal entity and/or is registered under an Enterprise Suite Service, the Affiliated Electronic Certificate Terms and Conditions shall apply to the User, and the User agrees that the User's data may not only be known by the Employee Account with whom the User is associated, but may also be known by the Admin or Owner of the relevant Enterprise Account.
- Users who use a personal account must have a Privy Personal Plan to be able to carry out the signing process through PrivySign Service.
- When using PrivySign Service, Users can use one of the Electronic Certificates provided by Privy based on the verification level used to sign Electronic Documents, namely Public Digital Certificate or Personal Digital Certificate.
- PrivySign Service that use a Personal Digital Certificate are not intended for use by Users who do not have an ID card issued by the authorized agency and/or other identity documents required when the User registering for a Privy Account.
- As part of the PrivySign Service, Users may use the File Access Bridge feature to connect their Third-Party cloud storage accounts and import Electronic Documents into the Privy Platform through the authorization mechanism provided by the applicable Third-Party cloud storage service provider (OAuth). Users understand and agree that the email address associated with the connected Third-Party cloud storage account does not have to be the same as the email address registered with the User's Privy Account.
- Privy will only access and process the Electronic Documents that are specifically selected and instructed by the User to be imported into the PrivySign Service. Privy does not store a list of all content available in the User's Third-Party cloud storage service and will not access, download, or process any documents and/or other data that have not been selected by the User.
- Users represent, warrant, and are responsible for ensuring that they have all necessary rights, permissions, and/or lawful authority to access, use, and import each Electronic Document through the File Access Bridge feature. Users are also responsible for ensuring that their use of the File Access Bridge feature does not infringe any Third-Party rights or violate any applicable internal policies governing such Electronic Documents.
- Users further understand that the use of the File Access Bridge feature is subject to the terms and conditions and privacy policy of the applicable Third-Party cloud storage service provider selected by the User. Privy shall not be liable for any interruption, limitation, modification, suspension, termination, or other actions taken by such Third-Party cloud storage service provider that affect the use of the File Access Bridge feature, including any resulting losses or claims.
- Users may disconnect their Third-Party cloud storage accounts from the Privy Platform at any time through the settings available on the Privy Platform and/or the applicable Third-Party cloud storage service. Disconnecting the account will not affect any Electronic Documents that have already been successfully imported and processed before such disconnection.
- PrivyPass Service
- Only Users who possess a PrivyID and a Privy Account may use the PrivyPass Service.
- The PrivyPass Service may be used without purchasing the Privy Personal Plan.
- PrivyPass enables Users to enter the Personal Data required for the use of the PrivyPass Service. This allows Users to conveniently store, access, manage, and share such data in one place. The data entered will form a Digital Identity that can be used to verify and authenticate the User's identity remotely, without face-to-face interaction, for various purposes securely and efficiently through the available features.
- By storing data through the User's Privy Account and PrivyID, the User may access or register with Third-Party platforms integrated with PrivyPass more easily, without the need to re-enter Personal Data on such Third-Party platforms, provided that the data is relevant and appropriate for the purposes of the respective third-party services.
- By using the PrivyPass Service, the User understands and agrees that this service is designed to facilitate the sharing of Personal Data verified by Privy with Third Parties who are service partners. Privy will only share such data upon obtaining the User's explicit consent, in accordance with the Personal Data Protection Notice and the applicable laws and regulations.
- The User understands that all communications and instructions from Users received by Privy regarding the use of PrivyPass Service shall be treated as evidence, even if not made in written form or bearing a wet signature. The User agrees to release Privy from any claims, demands, and liabilities that may arise in relation to the execution of such instructions.
- Users are required to safeguard and maintain the security and/or confidentiality of any One Time Password (OTP) code and/or any other confidential information related to the use of the PrivyPass Service, such as passwords or personal identification number (PIN), by any means, to prevent the misuse of the User's accounts in connection with the PrivyPass Service.
- Any disclosure of information and/or other activities conducted by Users on Third-Party platforms or sites shall be carried out in accordance with the applicable terms of use on such Third-Party Sites/platforms/sites and shall be outside the responsibility of Privy.
- The use of Personal Data in connection with the use of PrivyPass Service is subject to the provisions stipulated in Privy's Personal Data Protection Notice, as available at the Personal Data Protection Notice.
- PrivyChat Service
- Only Users who have a PrivyID and/or Privy Account can use PrivyChat on the Privy Application.
- PrivyChat is a communication service between Users that that supports the use of the Privy Services, including but not limited to sending and signing documents through PrivySign Service, communication relating to Electronic Documents (document chat), sending messages, images, videos, sound recordings. and/or files, creating group conversations (group chat), and other communication and collaboration features available through the PrivyChat Service.
- Users can use the contact synchronization feature for the needs of PrivyChat and/or other features in the Privy Platform, to the extent permitted by applicable law, in accordance with the phone number in the contact list on the User's mobile regularly, including the number between Users and your other contacts. Privy will use the data you provide for the fulfillment of Privy Services on the Privy Platform.
- If a User is registered as an Employee Account of a legal entity or business entity, the User will automatically have an enterprise profile associated with such Employee Account. The enterprise profile may be used as the User's identity when using the PrivyChat Service, subject to the settings available on the Privy Platform.
- Users may have more than one profile in PrivyChat, including a personal profile and one or more enterprise profiles based on the User's affiliation with one or more legal entities or business entities.
- When a User uses a profile as their identity in the PrivyChat Services information associated with that profile, such as the User's name, the name of the legal entity or business entity, job title, and other information available on that profile, may be displayed to other Users. Users are responsible for ensuring that they are using the appropriate profile before sending messages or using the PrivyChat Service.
- Users understand that messages, images, videos, voice recordings, Electronic Documents, files, and other content sent through PrivyChat may be stored by Privy for the purposes of providing the Services, operating the system, maintaining service security, complying with legal obligations, improving the quality of the Services, and other purposes as described in Privy's Personal Data Protection Notice, in accordance with applicable laws and regulations, including but not limited to those relating to personal data protection.
- PrivyPal Service
- Only Users who have a PrivyID and/or Privy Account may use the PrivyPal Service.
- PrivyPal is an artificial intelligence (AI)-powered assistant feature available on the Privy Website and/or Application. This service is supporting in nature and is not a standalone service, and does not form part of the Electronic Certificate, Electronic Signature, or any other services provided by Privy.
- Through PrivyPal, Users may:
- generate summaries of Documents;
- ask questions to understand the contents of Documents; and
- compare multiple Documents at the same time.
- The use of PrivyPal Service may be subject to certain usage limits determined by Privy from time to time. If such usage limits have been reached, Users understand that some or all functions of the PrivyPal Service may not be available until the usage limits become available again in accordance with the applicable terms.
- If a User is affiliated with a legal entity or business entity, the Admin may enable or disable the User's access to the PrivyPal Services through the settings available in the Enterprise Suite Services.
- Users understand that the PrivyPal Service generate outputs automatically, which may contain inaccuracies, incompleteness, or misinterpretations, and do not constitute any representation or warranty regarding the contents of the Documents. Privy does not guarantee the accuracy, completeness, or suitability of any output generated by PrivyPal. Therefore, Users are responsible for re-verifying such output before relying on it as the basis for any decision or action.
- By using PrivyPal, Users instruct and consent to Privy processing the contents of the selected Documents solely to generate summaries or responses relating to the Documents uploaded to the Privy Application. Such processing is not used to further train the PrivyPal artificial intelligence model.
- Privy continues to maintain the confidentiality of the contents of Documents and does not automatically read, access, or analyze the contents of Documents.
- The PrivyPal Services may use artificial intelligence technology provided by Third Parties. Users understand that the contents of Documents may be processed through Third-Party systems on a limited basis and solely for the purpose of providing the PrivyPal Service, while remaining under Privy's control in accordance with the applicable personal data protection policy. To the extent permitted by law, Privy shall not be liable for any interruption or unavailability of services caused by such Third Parties.
- PrivyPal does not provide legal, financial, or other professional advice, is not used for automated decision-making, and is not intended to replace human judgment. All outputs are for informational purposes only and are not binding.
- Users must independently read and verify the contents of Documents before making any decision, signing, or taking any action. Users must not fully rely on outputs generated by PrivyPal in making legal, business, or other important decisions.
- Users may only use the PrivyPal Service for Documents that:
- are owned by the User and/or the legal entity or business entity with which the User is affiliated;
- are uploaded by the User and/or the legal entity or business entity with which the User is affiliated; or
- are within the User's lawful access authority.
- Users are fully responsible for the legality, accuracy, and rights to use each Document processed through PrivyPal, including compliance with confidentiality obligations, agreements, and applicable laws and regulations.
- Users are prohibited from using PrivyPal for any unlawful or unauthorized purpose, including but not limited to any attempt to unlawfully extract, disclose, or analyze information, conduct reverse engineering, or carry out any other action that may interfere with the security, performance, or integrity of the system.
- Users may delete their interaction history through the available feature, with the understanding that such deletion may be carried out gradually in accordance with the applicable data retention policy. To the extent permitted by law, Privy may retain Users' interaction history for system security, audit, and/or service quality improvement purposes.
- Unless prohibited by law, Privy has the right, at its sole discretion, to limit, suspend, or terminate a User's access to the PrivyPal Service, at any time or if there is any indication of misuse, violation of these Terms of Use, or risk to system security, without prior notice.
- The PrivyPal Service may be developed, updated, or modified from time to time, including but not limited to changes to features, functions, method of operation, and the mechanism for processing and presenting outputs, provided that such changes are made for the purpose of developing, improving the quality of, or maintaining the security of the PrivyPal Service.
5.Service Usage Limit
The user agrees not to use Privy Services to carry out transactions or actions that:
- violate the law or the provisions of law and regulation;
- violate the rights of Privy or Third Parties, including but not limited to privacy rights, copyrights, trademarks, patents, trade secrets, or other intellectual property rights, as well as contractual rights or other rights protected under the provisions of prevailing law and regulation;
- intentionally and without rights or against the law in any way changing, adding, reducing, transmitting, destroying, removing, transferring, hiding any Electronic Information in connection with the Privy Services;
- interfere with, damage, or unlawfully harm the name or reputation of Privy;
- use PrivyChat Service to send spam or commit fraud (scam) to other Users;
- promote violence through PrivyChat Service to other Users;
- post content containing elements of ethnicity, religion, race, and societal groups (SARA) through PrivyChat Service to other Users;
- use an enterprise profile in the PrivyChat Service to mislead other Users or misuse the identity, affiliation, position, or authority associated with such profile; and/or
- use the PrivyPal Service in violation of these Terms of Use or in any manner that may interfere with the security, performance, or integrity of the system, including but not limited to unlawful data extraction or reverse engineering.
6.The user represents and warrant that
- The User is legally capable and authorized to take legal actions according to the laws of the Republic of Indonesia, including binding themselves to and implementing all the terms and conditions in these Terms of Use.
- In the event that the User creates a PrivyID, Privy Account, and/or uses the PrivySign Service on behalf of a legal entity or business entity, the User represents that they have the legal capacity and authority to represent and act for and on behalf of such legal entity or business entity. This includes, but not limited to, the authority to bind such legal entity or business entity to comply with and perform all the terms and conditions set forth in these Terms of Use.
- The User has read and understood the entire contents of these Terms of Use, and therefore voluntarily agrees to comply with and implement all the terms and conditions in these Terms of Use.
- The User hereby declares and guarantees that the use of PrivySign by the User will only be used in accordance with what has been determined in these Terms of Use in good faith and with due care and for legitimate purposes and does not violate the prevailing legal provisions in the Republic of Indonesia.
7.Electronic Certificate
- Privy issues Electronic Certificates to Users for personal purposes and/or for the benefit of entities affiliated with a legal entity or business entity in the performance of Electronic Transactions.
- Users are only permitted to use Electronic Certificates for their personal capacity and not to represent any position within a government institution.
- Electronic Certificates that explicitly state an affiliation with a legal entity or business entity may only be issued after the User has provided consent and Privy has obtained confirmation that the User has the lawful authority to act in the capacity granted by the relevant entity.
- Electronic Certificates affiliated with a legal entity or business entity may only be issued to Users who hold a valid Personal Digital Certificate and may only be used by the User to sign Electronic Documents in accordance with the User’s role, position, or capacity in the relevant Employee Account under the Enterprise Suite Service of the entity with which the User is registered.
- Electronic Certificates issued by Privy to the User shall have a validity period as stipulated in the Certification Practice Statement (CPS) and/or other documents as referred to in Point 2 letter (e) of these Terms of Use.
- Privy will send a notification to the User to renew the Electronic Certificate prior to the expiration of its validity period.
8.Privy Personal Plan
- To be able to start subscribing to the Privy Personal Plan, Users can make purchases through the Privy Application or through merchants and/or Third Parties who have collaborated with Privy.
- Users can make Privy Personal Plan payments according to the package that the User chooses and through the payment method provided.
- When the User has successfully purchased the Privy Personal Plan, the User is required to activate the Privy Personal Plan according to the time informed when purchasing the Privy Personal Plan. The duration of using Privy Personal Plan will follow the terms and offers you choose.
- In the event that the User does not activate the Privy Personal Plan for the specified duration, the Privy Personal Plan that has been purchased by the User cannot be used.
- If the duration of the User's Privy Personal Plan has ended, the User can repurchase the Privy Personal Plan according to the available package and make payments for the selected package.
- Purchasing Privy Personal Plan through merchants and/or Third Parties is carried out with the terms and conditions applicable to the merchant platform and/or Third Parties along with these Terms of Use.
- The Privy Personal Plan that you have purchased is non-transferable, non-exchangeable, and non-refundable.
- Users who already have a Privy Account with Privy Balance will be converted into a Privy Personal Plan package in accordance with the applicable terms and conditions.
9.Advertising, Communication and Marketing
- Users understand that Privy can display and/or send advertisements, communications and/or information related to Privy Services on the Privy Platform and/or send it to you via push notification.
- The User grants Privy the right to display and/or send advertisements, communications and/or other information to the User, and allows Third Parties who have cooperated with Privy to do the same, to the extent permitted by Our Personal Data Protection Notice.
10.Property Rights and Intellectual Property Rights Clauses
The User or The User’s representatives , including all employees of the User, do not acquire any proprietary rights or intellectual property rights, including but not limited to patents, copyrights, brands, trade secrets, for the content available on the Privy Services ( including but not limited to all information, software, information, text, letters, numbers, color arrangement, images, logos, names, video and audio, features, and design selection and arrangement). The User agrees not to use Privy's intellectual property rights without Privy's prior written consent. The User acknowledges that any actual attempt or violation of the provisions related to intellectual property rights will result in the termination of all User’s rights regarding Privy Services, and/or may be subject to legal sanctions in accordance with applicable laws and regulations.
11.Security and Confidentiality
- Privy takes security and storage efforts with great care to protect the confidentiality of the User’s Personal Data from time to time.
- Any content uploaded and sent by the User to Privy Services will be stored securely and sent confidentially using industry electronic information security standards.
- Privy will notify the User in the event of a failure to protect the confidentiality of the User’s Personal Data in Privy's electronic system under the provisions of the prevailing law and regulation.
- Privy safeguards access to all data and information, including but not limited to conversation message records, Personal Data, or Electronic Documents uploaded by the User through the User’s Privy Account and Privy’s system in connection with Privy Services, so that only the User and other parties authorized by the User may access and/or view such data and information.
- The User understands that Privy may grant access to or disclose the User’s data and/or information, including but not limited to Electronic Documents or conversation message records, to comply with applicable law and/or regulation. Such disclosure may be conducted in connection with law enforcement processes or further preventive measures regarding unlawful activities, suspected criminal acts, or violations of laws or regulations.
12.Limitation of Liability
- Privy provides the Services in an “as is” condition. The User understands that Privy does not make a statement or warranties of any form that:
- The use of PrivySign will always be on time, always working without interruption, or free from changes, additions, subtraction, transmissions, damages, losses, transfers, concealment caused by the actions of a party intentionally and without rights or against the law;
- PrivySign can continue to operate and be used in conjunction with other party devices or systems that are not provided or owned by Privy; and/or
- PrivySign will always meet User expectations.
- The User understands that PrivySign may experience interruptions or delays due to unavailability or interruption of the Third-Party Services that the User uses or due to interruption, unavailability, or malfunction of certain features on the device that the User uses. The User agrees to release Privy from all claims, demands, or lawsuits in connection with the failure to carry out of the User’s instructions due to incomplete submission of information from the User or the cancellation or change of instructions submitted to Privy, unless the instructions are carried out due to deliberate or serious negligence of Privy.
- User agrees to release Privy from all claims, demands, and lawsuits for any consequences or losses arising in connection with: (i) the non-completion or delay of an Electronic Transaction; and/or (ii) any disruption, delay, change, or unavailability of PrivySign or Privy Services (including in the event that Privy is unable to carry out or continue part or all of User instructions or communications to Privy through the Privy Site or Application), caused by events or things beyond Privy's control, including but not limited to natural disasters, wars, riots, government policies, banking system failures, monetary crises, changes, additions, reductions, transmissions, damages, losses, transfers, concealment within the system , devices, or Privy Services caused by the actions of a party intentionally and without rights or against the law, interruption or unavailability of third-party services including internet, power, telecommunications and electricity network interruptions on an ongoing basis, or other matters beyond Privy control.
- The User agrees that Privy is not responsible for any consequences or losses arising from the things mentioned above, including but not limited to: (i) loss of data; (ii) loss of income, profits or other income; and/or (iii) loss, damage or injury arising from User uses of Privy Services including PrivySign.
- User agrees to release Privy from all claims, demands, lawsuits, and compensation of any kind and from any party that arises in connection with:
- Privy's use of information, Personal Data, Document, and/or instruction by Privy for the purpose of providing the Privy Services under these Terms of Use, or based on any consent, acknowledgment, authority, power of attorney, and/or rights granted by the User to Privy;
- The provision of information, Personal Data, Document, and/or instruction by the User to Privy that violates prevailing law or regulation, the rights (including intellectual property rights) of any other party, or violates any contract, agreement, statement, decision, or document to which the User is a party or by which the User is bound;
- Unauthorized use of Privy Services, violates prevailing law and regulation, rights (including intellectual property rights) of any other party, or violates any contract, agreement, statement, decision, or document to which the User is a party or is bound by it or violates these Terms of Use.
- Users understand and agree that any use of the Privy Services must comply with applicable laws and regulations, must not infringe the rights of any third party, including but not limited to privacy rights, personal data rights, and intellectual property rights, and must not violate any contractual or confidentiality obligations binding upon the User. Privy shall not be liable for any use of the Privy Service by the User in violation of the foregoing.
13.Termination of Use of PrivySign Services and Privy Accounts
- In the event that the User wishes to terminate the use of Privy Services, the User must close the User’s Privy Account and shall be subject to the provisions governing the termination of the Privy Account. Upon submission of a request to close the Privy Account, the User’s Electronic Certificate will be automatically revoked.
- The User's Privy Account will remain valid for an indefinite period unless the User submits a written request to the electronic mail (e-mail) address of Privy as stated in these Terms of Use to close or terminate the use of the User’s Privy Account.
- The User understands that in the event of a written request for termination of the Privy Account from the User, Privy may require prior verification and request additional data. If such verification conducted by Privy is unsuccessful, Privy reserves the right to reject the request.
- The User understands that, upon the successful closure of the User's Privy Account, the User will no longer be able to access any features within the User’s Privy Account, including but not limited to all documents stored therein. Upon closure of the Privy Account, any active Privy Personal Plan of the User shall automatically terminate and may not be reused, reinstated, or converted into any form of compensation.
- Privy at its sole discretion, can close or terminate the use of the User’s Privy Account if the User violates these Terms of Use, carry out activities that can cause harm to Privy, or present a security threat to the Privy system, Privy Services, or other Users. Privy may delete User's Personal Data in Privy's electronic system in the event that:
- The User closes or terminates the use of the User's Privy Account and the period of storage of Personal Data in the electronic system based on the provisions of other law and regulation exceeded; or
- There is a court order to delete Personal Data contained in the Privy electronic system at the request of the owner of Personal Data. Personal data that has been deleted by Privy cannot be displayed again.
14.Applicable Law and Dispute Resolution
- These Terms of Use are regulated and interpreted based on the laws of the Republic of Indonesia.
- The User and Privy agree that all disputes or conflict arising from or relating to matters regulated in these Terms of Use (including any disputes or conflict caused by an illegal acts or violations of one or more terms and conditions in the Terms of Use) ("Disputes") will be resolved in the following manner:
- One of the parties, either User or Privy ("First Party") is required to provide written notice to the other party ("Second Party") regarding the occurrence of a Dispute ("Dispute Notification"). Disputes must be resolved by deliberation and consensus within thirty (30) calendar days from the date of the Dispute Notification (“Deliberative Settlement Period”);
- If the dispute cannot be resolved by deliberation and consensus until the end of the Deliberative Settlement Period, the First Party and the Second Party agree that the Dispute will be referred to and resolved by the Indonesian National Arbitration Board (“BANI”) according to the rules of arbitration procedure at BANI which is located at Wahana Graha Floor 1 and 2, Jl. Mampang Prapatan No. 2 Jakarta 12760, with the following conditions:
- In the arbitration, the language used is Bahasa Indonesia;
- The place of arbitration is in Jakarta, Indonesia
- The First Party and the Second Party will jointly appoint one (1) arbitrator who will be the sole arbitrator to settle disputes
- Arbitration costs and legal fees must be borne by the losing party; and
- The arbitration award is final and binding on the First Party and the Second Party.
15.Language
In the event that these Terms of Use are displayed in a various language option and there is a mismatch between one language and another, the Bahasa Indonesian text will prevail.
16.Severability
If some of these provisions cannot be enforced, then the remaining provisions will not be canceled and will continue to apply in full force. Privy has the right to replace and/or change the canceled provisions with other provisions to the extent permitted by the prevailing law and regulation
17.Contacts and Notifications
- Every notification from Privy addressed to the User will be announced through the Site and sent via electronic mail (e-mail), Short Message Service (SMS), or push notification through the Privy Application installed on the User's device registered with Privy.
- Every notification from a User addressed to Privy becomes effective when the notification is received by Privy through the e-mail address helpdesk@privy.id and/or through a physical document sent to PT Privy Identity Digital with the address CIBIS NINE, 8th floor, Jl. T.B. Simatupang No. 2, RT 001, RW 005, CIlandak Timur, Pasar Minggu, South Jakarta 12560, Indonesia.
