Terms of Use for Enterprise Suite Service

Welcome to Enterprise Suite Service!
Thank you for your interest in using Enterprise Suite. By registering Enterprise Suite or using the Enterprise Suite Service, you acknowledge that you have read, understood, and agreed to these Terms of Use for Enterprise Suite ("Terms of Use"). Privy provides various types of services, therefore additional terms and conditions may apply when you use the Enterprise Suite Service.
These Terms of Use are an integral part of the general terms and conditions for using Privy services including but not limited to the Privy Personal Terms of Use, Affiliated Electronic Certificate Terms and Conditions, Certificate Practice Statement (CPS), Warranty Policy, Personal Data Protection Notice (formerly referred to as the "Privacy Notice"), Subscriber Agreement and Relying Party Agreement as stated in https://repository.privyca.id, as well as Electronic Stamp-Duty Terms and other terms available on the Privy Site and/or Application from time to time.
These Terms of Use may be amended or updated in whole or in part from time to time with or without prior notice to Customers and will be effective upon uploading on the Privy Site and/or Application. Privy recommends that Customers check the Privy Site and/or Application to find out about any changes to these Terms of Use from time to time. By continuing to access Enterprise Suite or use the Enterprise Suite Service, Customers are deemed to agree to changes to these Terms of Use. If customers do not agree to the changes in the Terms of Use, Customers may contact Privy to terminate Enterprise Suite.
These Terms of Use constitute an agreement between Privy and Customers. Please read these Terms of Use carefully!
1.Definition
Except as specifically defined below, the capitalized terms used in these Terms of Use have the same meanings as defined in the Privy Personal Terms of Use. Each word beginning with a capital letter has the following meanings:
- “Action” means any instructions request, approval, activity, or action performed through the Privy Electronic System by the Customer's Owner, Admin, and/or Employee Account via the Privy Website and/or Application in connection with the use of the Enterprise Suite Services that may be accepted, processed, or executed by the Privy Electronic System, including but not limited to actions relating to Electronic Documents, Electronic Signatures, Affiliated Electronic Certificates, Electronic Seals, Electronic Stamps, the management of the Enterprise Account, and other features and services made available as part of the Enterprise Suite Services from time to time.
- “Admin” means a Privy Account registered by Customer or registered Admin in the Customer’s Enterprise Account who can manage the Enterprise Account as regulated in these Terms of Use.
- “Bulk Signing” is a feature for signing multiple document templates with a single authentication process.
- “Customer” means any partnership, firm, company, legal entity, or organization using Privy Services.
- “Document” means any Electronic Document voluntarily provided or uploaded by the User to the PrivyPal feature for the purpose of generating summaries or enabling text-based interactions, whether or not such Electronic Document has been processed within the Privy system for Electronic Signature purposes.
- "Electronic Document" means any Electronic Information, including but not limited to Electronic Contracts, created, forwarded, sent, received, or stored in analog, digital, electromagnetic, optical, or the like, which can be seen, displayed, and/or heard through a computer or electronic system, including but not limited to writings, sounds, images, maps, designs, photographs or the like, letters, signs, numbers, access codes, symbols or perforations that have meaning or can be understood by a person capable of understanding it.
- "Electronic Information" means one or a set of electronic data, including but not limited to writing, sound, images, maps, designs, photographs, Electronic Data Interchange (EDI), electronic mail (e-mail), telegram, telex, telecopy, or the like processed letters, signs, numbers, access codes, symbols, or perforations that have meaning or can be understood by those who can understand them.
- "Electronic Seal" is electronic data attached, associated, or related to Electronic Information and/or Electronic Documents that guarantees the origin, integrity, and completeness of the Electronic Information and/or Electronic Documents used by Business Entities created with Privy Services.
- “Electronic Signature" means a signature consisting of Electronic Information that is embedded, associated, or related to other Electronic Information used as a verification and authentication tool created with the Privy Service.
- “Electronic Stamp” means a corporate stamp in electronic form provided by Privy and affixed to an Electronic Certificate belonging to a legal entity or business entity.
- "Electronic System" means a series of electronic devices and procedures that function to prepare, collect, process, analyze, store, display, announce, send, and/or disseminate Electronic Information.
- “Employee Account" means a Privy Account associated with (and registered by the User in) the Enterprise Account.
- "Enterprise Account" means an account created by Privy for the Customer in using the Enterprise Suite Service.
- "Enterprise Suite Service" means electronic certificate services, Electronic Signature services, along with features for managing electronic documents and managing access to electronic documents, and/or related additional features, which can be used on the Privy’s Site and/or Application by Admins and Employee Accounts registered on the Enterprise Account, provided by Privy to the Customer based on the active or applicable Service Period.
- “File Access Bridge” or “File Access Bridge Service” means a feature available on the Privy Platform that enables Users to connect their Third-Party cloud storage accounts to the Privy Platform for the purpose of importing Electronic Documents.
- "Owner" means the Customer’s Privy Account representing the Customer in registering for the Enterprise Suite Service for the first time to manage the Enterprise Account in the role of an Admin.
- "Personal Data" is any data about a person either identified and/or can be identified separately or in combination with other information either directly or indirectly through electronic and/or non-electronic systems that identifies or can be used to identify individuals, alone or in combination with other data/information, directly or indirectly, in electronic and/or non-electronic systems, which are divided into specific/sensitive Personal Data and general Personal Data.
- “PrivyPal” or “PrivyPal Services” means an artificial intelligence (AI)-powered assistant feature provided by Privy to help Users understand the contents of Electronic Documents through summarization and text-based interaction functionalities.
- "Privy Services" means the Electronic Certificate issuance service, PrivySign, Privy Document Management System, PrivyPass, Electronic Seal, PrivyChat and/or other Privy services declared by Privy from time to time, either through the Privy Site or Application
- “Registration Form” means the official form provided by Privy to be completed by prospective Customers, containing the data, information, and statements required as the basis for registration, verification, activation, and contractual matters related to the use of the Enterprise Suite Service.
- "Service Period" is the period starting from when the Customer’s Enterprise Account is active until the end or termination of that period.
- "Site" means any URL using the domain address "https://privy.id" or other sites stated by Privy from time to time.
- "User" is any individual including but not limited to Indonesian citizens (WNI) and/or foreign citizens (WNA) or legal entities/business entities accessing the Privy Platform and/or using Privy Services.
2.Registration of an Enterprise Account
- The Enterprise Suite Services are provided through the Privy Website and/or Application and are made available on an "as is" and "as available" basis. To use the Enterprise Suite Services, Customers may register by completing the required information and data through the Privy Website and/or Application or by submitting the Registration Form provided by Privy. For the avoidance of doubt, the Registration Form forms an integral and inseparable part of these Terms of Use. In the event of any inconsistency between the Registration Form and these Terms of Use, these Terms of Use shall prevail, except for information or provisions specifically set out in the Registration Form.
- To create an Enterprise Account and use the Enterprise Suite Services, Customers may be required to provide certain information and data to Privy. Customers must provide true, accurate, and complete information and data when requested by Privy. Such information and data may include, among other things, the Owner's PrivyID, email address, telephone number, company address, and the Customer's Taxpayer Identification Number (NPWP). If the Customer does not yet have a Privy Account and PrivyID, the Customer must first create a Privy Account in accordance with the Privy Personal Terms of Use.
- If the Customer activates the Electronic Seal and/or Electronic Stamp features within the Enterprise Suite Services, as part of the verification process for the use of such features, the Customer may be required to upload the Customer's corporate documents and/or other supporting documents, including but not limited to:
- the deed of establishment and/or the latest deed of amendment together with the relevant approval or acknowledgment issued by the Ministry of Law and Human Rights;
- the Business Identification Number (Nomor Induk Berusaha/NIB) and/or other equivalent business licenses;
- a Power of Attorney or letter of appointment issued by the person authorized to represent the Customer (if represented); and
- any other documents required by Privy for verification, compliance, or to comply with applicable laws and regulations.
- Customers understand and agree that Privy has the right to verify the documents and information provided by the Customer and may request additional documents and/or information where necessary for verification, compliance, or to comply with applicable laws and regulations as part of the activation process for the Electronic Seal and Electronic Stamp features.
- Customers represent and warrant that any person registering for and/or using an Enterprise Account has the lawful authority to act for and on behalf of the Customer. Privy may rely on any information, data, and representations provided during the registration and/or use of the Enterprise Account as the basis for granting access to and use of the Enterprise Suite Services.
- If the registration and/or use of an Enterprise Account is carried out by a person without lawful authority, all risks, responsibilities, and legal consequences arising therefrom shall be borne by such person and/or the Customer in accordance with the legal relationship between them. The Customer hereby releases and holds Privy harmless from any claims, demands, and/or legal actions arising in connection with such circumstances.
- Customers shall promptly update any information and data previously provided to Privy to ensure that such information and data remain true, accurate, and complete at all times. Any modification, addition, or update to such information and data may be submitted to Privy through the available contact channels. Privy has the right to verify any modification, addition, or update to the information and data provided by the Customer in accordance with Privy's verification procedures and standards. If the verification results do not satisfy such standards, Privy has the right to reject the Customer's request for the relevant modification, addition, or update.
3.Use of Enterprise Suite Service
- To access the Customer's Enterprise Account for the first time, the Customer must have, associate, or register a Privy Account as the Owner and Admin of the Customer's Enterprise Account. The procedures for creating and using a Privy Account are set out in the Privy Personal Terms of Use.
- By registering one or more Privy Accounts as Admins, Customers authorize these Admins to:
- add one or more Privy Accounts as Admins and/or revoke the registration of one or more Privy Accounts previously registered as Admins on the Enterprise Account; and
- add one or more Privy Accounts as Employee Accounts and/or revoke the registration of one or more Privy Accounts previously registered as Employee Accounts on the Enterprise Accounts.
- The Customer acknowledges and agrees that each User whose Privy Account is registered as an Employee Account will be issued an Electronic Certificate affiliated with the Customer. The issuance of such affiliated Electronic Certificate shall be carried out based on the Customer's request and approval through the registration and management of the Employee Account by the Admin within the Enterprise Suite Service, as well as based on the separate consent of the relevant User in accordance with the Affiliated Electronic Certificate Terms and Conditions.
- The registration of Privy Accounts as Employee Accounts and/or replacement of Employee Accounts previously registered with other Privy Accounts can be done if it does not exceed the number limit of Employee Accounts that have been paid for and are still valid. Employee Accounts remain valid throughout the Service Period. However, the termination of an Employee Account does not result in the closure of the Privy Account registered as an Employee Account.
- By registering a Privy Account as an Employee Account, Customers authorize the holder of the Employee Account to perform any Action related to Customer's Electronic Documents.
- As part of the Enterprise Suite Services, Users within the Customer's Enterprise Account may use the File Access Bridge feature to connect their Third-Party cloud storage accounts and import Electronic Documents into the Privy Platform through the authorization mechanism provided by the applicable Third-Party cloud storage service provider (OAuth).
- The Admin has the authority to enable or disable the use of the File Access Bridge feature for all or selected Users within the Customer's Enterprise Account in accordance with the Customer's internal policies and the settings available on the Privy Platform.
- The Customer is responsible for ensuring that the use of the File Access Bridge feature by Users within the Customer's Enterprise Account is carried out in accordance with the applicable access rights, permissions, and/or lawful authority, as well as the Customer's internal policies and applicable laws and regulations.
- The Customers shall be responsible for:
- Continuously ensuring that any party authorized to take Action towards Privy in the use of the Enterprise Suite Service, including Admin and/or Employee Account, is duly authorized by the Customer.
- Customers are responsible for all consequences arising from the registration of any Privy Accounts as an Admins and/or Employee Accounts under the Customer's Enterprise Account, as well as all activities carried out by such Admin and/or Employee Account within the Privy Site and/or Application, including but not limited to the use of affiliated Electronic Certificates.
- Managing the assignment, modification, and/or termination of Employee Accounts and Electronic Certificates affiliated with the Customer, including but not limited to matters relating to changes in the relationship status between the Customer and the User.
- In the event that a Privy Account holder associated with an Employee Account within the Enterprise Suite is no longer part of the Customer (for example: the Privy Account holder is an employee who is no longer employed by the company), the following provisions shall apply:
- The Customer shall remove any Privy Account previously registered as an Employee Account and/or Admin from the relevant Enterprise Account and request revocation of such User's affiliated Electronic Certificate.
- The Customer is responsible for ensuring that each User whose Privy Account is registered as an Employee Account continues to have the lawful rights, permissions, and authority to use the Enterprise Suite Services, including the enterprise profile available on the Privy Platform. Any negligence and/or delay by the Customer in removing an Employee Account, requesting the revocation of an Affiliated Electronic Certificate, or revoking the access of a User who is no longer authorized shall not be the responsibility of Privy and shall be borne entirely by the Customer in the event of any losses occur in the future.
- Upon the removal of a Privy Account as an Employee Account, any Electronic Documents uploaded or received by such Privy Account after the removal shall no longer be accessed through that Privy Account within the Customer's Enterprise Account.
- Customers are responsible for maintaining the security of systems and devices used to access the Enterprise Suite Service in accordance with the Registration Form and these Terms of Use, including by regularly updating the Privy Site and/or Application, operating system, browser, latest antivirus software, as well as changing passwords on a regular basis. The Customer is responsible for ensuring that each Admin and/or Employee Account maintains the security of their access and the confidentiality of their password.
- The Customer understands and agrees that any activities carried out by an Admin and/or Employee Account shall constitute a valid instruction from the Admin and/or Employee Account registered by the Customer under the Customer's Enterprise Account. The Customer shall be solely responsible for any consequences arising from its failure or negligence to maintain the confidentiality or security of access to the Admin and/or Employee Account within the Customer's Enterprise Account.
- The Customer understands and agrees that any action, instruction, and/or request made by an Admin and/or Employee Account through the Privy Electronic System, provided that it is made through access associated with the Customer's Enterprise Account, shall be deemed to have been made for and on behalf of the Customer.
- If the Customer wishes to change the Owner of its Enterprise Account, the Customer may submit a written request for the change of Owner. Such request must include the full name and PrivyID of the current Owner, the full name and PrivyID of the proposed new Owner, as well as the company's email address and telephone number. The written request may be submitted to helpdesk@privy.id.
- Actions from the Enterprise Account can only be used during the Service Period as stated in the Privy Site and/or Application. Each Action shall be deemed to have been made when the Privy Electronic System receives an instruction from the Customer's Employee Account through the Privy Site and/or Application to:
- provide access to an Electronic Document uploaded on the Privy Site and/or Application to an email address or a Privy Account not registered as an Employee Account; or
- send any request to affix 1 (one) Electronic Signature on an Electronic Document uploaded on the Privy Site and/or Application to an email address or a Privy Account not registered as an Employee Account.
- Customers are responsible for informing each prospective signatory that the signing of an Electronic Document will be carried out using an Electronic Signature provided by Privy, and that, for such purpose, the prospective signatory will receive the Electronic Signature creation data from Privy. Privy shall not be responsible for any inability of the prospective signatory to use the Privy Site and/or Application or to satisfy the requirements necessary for obtaining the Electronic Signature creation data.
- To facilitate the signing of Electronic Documents, Customers may use the Bulk Signing feature to sign multiple Electronic Documents simultaneously that are in the "ready" status under the Bulk Signing section of the Privy Site and/or Application. Customers will receive a One-Time Password (OTP) as confirmation of their consent to sign the selected Electronic Documents. By entering the OTP received by the Customer, the Customer agrees to sign such Electronic Documents through the Bulk Signing feature and hereby releases and discharges Privy from any disputes arising in connection with such action.
- Electronic Documents signed using Electronic Signatures from the Privy Site and/or Application or Electronic Documents shared by other parties to the Customers can be downloaded on the Privy Site and/or Application. Customers are responsible for storing such Electronic Documents on their chosen storage media and for backing up each Electronic Documents uploaded or downloaded through the Privy Site and/or Application.
- Every instruction given to Privy and stored on Privy's server constitutes valid, accurate, and binding data and serves as valid evidence of the Action performed. Such instruction may not be withdrawn by the Customer after it has been received by the Privy Electronic System for processing. The Customer agrees to and acknowledges the validity, accuracy, and authenticity of all instructions and communications transmitted electronically between the Customer and Privy in connection with the use of the Enterprise Suite Service.
- Privy shall not be responsible for the content, substance, or validity of any electronic contract or Electronic Document created, uploaded, signed, or used by the Customer, including but not limited to any document which, under the applicable laws and regulations, is required to be made in written form, in the form of a notarial deed or a deed executed by an authorized deed official, or any document requiring a wet signature or fingerprint. The Customer understands and acknowledges that Privy is not a party to such electronic contract or Electronic Document. Accordingly, the Customer hereby releases, discharges, and indemnifies Privy from and against any claims, demands, or actions arising out of or in connection with the content, substance, execution, or validity of such electronic contract or Electronic Document.
- Each Party shall comply with the laws and regulations governing the protection of personal Data in Indonesia, including any changes, replacements, or amendments thereto as may be applicable from time to time as further regulated in the Privy Personal Data Protection Notice.
- To the extent permitted by applicable laws and regulations, Privy will store Electronic Documents from the Customer's Enterprise Account in the Privy Site and/or Application during the ongoing Service Period. Privy will delete Electronic Documents upon a written request from the Customer made in accordance with the procedures specified by Privy.
- Privy reserves the right to update, modify, or suspend access to some or all of the Privy Site and/or Application, including the Enterprise Suite Service, temporarily if necessary for performance improvements, security enhancements, repairs, and/or further management to enhance service to Customers or in case of suspected data leaks or security threats without prior notice to Customers.
- In using the Enterprise Suite Service, Customers agree to comply with all applicable laws and regulations in the jurisdiction where the Enterprise Suite Service is accessed or used.
- Customers agree not to use the Enterprise Suite Service for transactions or actions that: (i) violate laws or regulations; (ii) infringe upon Privy's rights or those of third parties, including but not limited to privacy rights, copyrights, trademarks, patents, trade secrets, or other intellectual property rights, as well as contractual rights or other rights protected by applicable laws and regulations; (iii) intentionally and without authorization or unlawfully modifying, adding, deleting, transmitting, damaging, removing, transferring, or concealing any Electronic Information in connection with the Enterprise Suite Service; (iv) may damage or disrupt Privy's reputation.
- Customers declare and warrant that:
- Customers are legally competent and authorized to perform legal acts under the laws of the Republic of Indonesia, including to bind themselves to and comply with all the terms and conditions in these Terms of Use.
- In the event that the Customer creates an Enterprise Account or uses the Enterprise Suite Service on behalf of a partnership, firm, company, legal entity, or organization, the Customer has the capacity and authority to represent and act for and on behalf of such partnership, firm, company, legal entity, or organization, including but not limited to binding such partnership, firm, company, legal entity, or organization to these Terms of Use and ensuring compliance with all of its terms and conditions.
- The Customer has read and understood all the contents of these Terms of Use and therefore voluntarily agrees to be bound by and comply with all the terms and conditions herein. Privy reserves the right to terminate access to the Customer's Privy Account, Enterprise Account, and the Enterprise Suite Service at any time in the event of a violation of these Terms of Use, and the Customer acknowledges and accepts the risk that the data and information recorded in the Customer's Privy Account and Enterprise Account may no longer be accessible or retrievable following such termination.
4.Use of the PrivyChat Service
- As part of the Enterprise Suite Service, the PrivyChat Service enables Customers to facilitate communication and collaboration among Users within the Customer's Enterprise Account as well as with other Users through the Privy Platform, including but not limited to the use of enterprise profiles by Users, communication relating to Electronic Documents (document chat), creation of group chats, workspaces, and other communication and collaboration features made available through the PrivyChat Service.
- Users registered as the Customer's Employee Accounts shall have an enterprise profile within the PrivyChat Service, which may be used in accordance with the settings available on the Privy Platform. Such enterprise profile indicates the User's affiliation with the Customer when used within the PrivyChat Service.
- Users registered as the Customer's Employee Accounts may create group chats as part of communication and collaboration within the Customer's Enterprise Account, subject to the settings available on the Privy Platform.
- To the extent permitted under the applicable laws and regulations, Privy may access, use, store, or disclose communication data where necessary for the provision of the service, operation of the system, service security, compliance with legal obligations, dispute resolution, evidentiary purposes, or other purposes as set out in the Privy Personal Data Protection Notice and the applicable laws and regulations, including but not limited to the laws governing personal data protection.
5.Use of the PrivyPal Service
- PrivyPal is an artificial intelligence (Artificial Intelligence or AI) assistant feature available within the Privy Site and/or Application. The PrivyPal Service is an ancillary service and does not constitute a standalone service, nor does it form part of the Electronic Certificate Service, Electronic Signature Service, or any other electronic certification services provided by Privy.
- The PrivyPal Service may only be used by Customers and/or Users who are registered as the Owner, Admin, and/or Employee Account under the Customer's Enterprise Account and who have lawful access to the Electronic Documents available within the Privy Site and/or Application.
- The PrivyPal Service enables Customers and/or Users to:
- generate summaries of Electronic Documents;
- submit questions to better understand the contents of Electronic Documents; and
- compare multiple Electronic Documents simultaneously.
- The use of the PrivyPal Service by Users within a Customer's Enterprise Account may be subject to certain usage limits as determined by Privy from time to time. Where such usage limit has been reached, the User acknowledges and understands that some or all functions of the PrivyPal Service may become unavailable until such usage limit is restored in accordance with the applicable provisions.
- The Customer understands that the PrivyPal Service automatically generates outputs, which may contain inaccuracies, incomplete information, or misinterpretations, and such outputs do not constitute a representation or warranty of the contents of any Electronic Document. Privy makes no representation or warranty as to the accuracy, completeness, or suitability of any output generated by the PrivyPal Service.
- The Customer, through its Admin, shall have the right to configure, restrict, or disable access to the PrivyPal Service for Employee Accounts in accordance with the Customer's internal policies.
- By using the PrivyPal Service, the Customer and/or User instructs and authorizes Privy to process the contents of the selected Electronic Documents solely for the purpose of generating summaries of, or responses relating to, the Electronic Documents uploaded to the Privy Site and/or Application. Such processing shall not be used to further train the artificial intelligence model used by the PrivyPal Service.
- The PrivyPal Service may utilize artificial intelligence technology provided by Third Parties. The Customer understands that the processing of the contents of Electronic Documents may be carried out through the systems of such Third Parties on a limited basis and solely for the purpose of providing the PrivyPal Service, while remaining under the control of Privy in accordance with the applicable personal data protection policies. To the extent permitted by applicable law, Privy shall not be liable for any interruption or unavailability of the service caused by such Third Parties.
- Privy shall continue to uphold the confidentiality of the contents of Electronic Documents and shall not automatically read, access, or analyze the contents of any Electronic Document.
- The PrivyPal Service does not provide legal, financial, or any other professional advice, shall not be used for automated decision-making, and is not intended to replace human judgment. All outputs are provided solely for informational purposes and shall not be legally binding.
- The Customer and/or User shall independently review and verify the contents of any Electronic Document before making any decision, signing any document, or taking any action. The Customer and/or User shall not rely solely upon any output generated by the PrivyPal Service when making legal, business, or any other important decisions.
- The Customer and/or User may only use the PrivyPal Service in relation to Electronic Documents that are:
- owned by the Customer and/or User;
- uploaded by the Customer and/or User; or
- lawfully accessible by the Customer and/or User.
- The Customer and/or User shall be solely responsible for the legality, accuracy, and lawful right to use each Electronic Document processed through the PrivyPal Service, including compliance with all applicable confidentiality obligations, contractual obligations, and applicable laws and regulations.
- The Customer and/or User shall not use the PrivyPal Service for any unlawful or unauthorized purpose, including but not limited to attempting to extract, disclose, or analyze information unlawfully, performing reverse engineering, or engaging in any other activity that may compromise the security, performance, or integrity of the system.
- The Customer and/or User may delete their interaction history through the available features, with the understanding that such deletion may be carried out progressively in accordance with the applicable data retention policy. To the extent permitted by applicable law, Privy may retain the Customer's and/or User's interaction history for the purposes of system security, audit, and/or service quality improvement.
- To the extent not prohibited by applicable law, Privy reserves the right, at its sole discretion, to restrict, suspend, or terminate a User's access to the PrivyPal Service at any time, including where there is any indication of misuse, violation of these Terms of Use, or any risk to the security of the system, without prior notice.
- The PrivyPal Service may be developed, updated, or modified from time to time, including but not limited to changes to its features, functions, methods of operation, and mechanisms for processing and presenting outputs, provided that such changes are made for the purposes of development, service improvement, enhancement of quality, or security of the PrivyPal Service.
6.Payment Terms
- Customers will subscribe to the use of the Enterprise Suite Service for the applicable Service Period as stated in the Privy Site and/or Application.
- Purchases of the Enterprise Suite Service cannot be cancelled, and payments made are non-refundable.
- The Enterprise Suite Service for the Service Period cannot be exchanged for money for any reason.
- If the Service Period for the Enterprise Suite Service has expired, Privy reserves the right to temporarily suspend some or all of the Enterprise Suite Service for the Customer until the Customer has renewed the Service Period for the Enterprise Suite Service.
7.Advertising, Communication, and Marketing
- Users understand that Privy may display and/or send advertisements, communications, and/or information related to the Privy Service on the Privy Platform and/or send them to you via push notification.
- Users grant us the right to display and/or send advertisements, communications, and/or other information to you, and allow third parties who have partnered with us to do the same, as permitted by Privy Personal Data Protection Notice.
8.Ownership and Intellectual Property
Customers or their representatives, including all employees of the Customer, shall not acquire any ownership rights or intellectual property rights whatsoever, including but not limited to patents, copyrights, trademarks, or trade secrets, in or to any content made available through the Privy Services (including but not limited to all information, software, text, letters, numbers, color schemes, images, logos, names, video and audio, features, and the selection and arrangement thereof). Customers agree not to use any of Privy's intellectual property rights without Privy's prior written consent. Customers acknowledge that any actual or attempted violation of the provisions relating to such intellectual property rights shall result in the termination of all Customer rights in connection with the Enterprise Suite Service and/or may subject the Customer to legal sanctions in accordance with the applicable laws and regulations.
9.Security and Confidentiality
- Privy makes diligent security and storage efforts to protect the confidentiality of User's Personal Data from time to time.
- Any content (including messages) uploaded and sent by Users through the Privy system in connection with the Privy Service will be securely stored and transmitted confidentially using industry-standard electronic information security measures.
- Privy will provide notification to Users in the event of a failure to protect the confidentiality of User's Personal Data within the Privy electronic system in accordance with applicable laws and regulations.
- Privy maintains access to all data and information, including but not limited to conversation message records, Personal Data, or Electronic Documents uploaded by Users through their User Privy Account via the Privy system in connection with the Privy Service, so that only Users and other parties authorized by Users can access and/or view such data and information.
- Users understand that Privy may provide access to or disclose User's data and/or information, including but not limited to Electronic Documents or records of User conversations, to comply with applicable legal requirements and/or regulations, in connection with law enforcement processes, such disclosure may be carried out in the context of law enforcement proceedings for further preventive actions related to unauthorized activities, suspected criminal activities, or violations of laws or regulations.
10.Limitation of Liability
- Privy provides the Enterprise Suite Service and the Privy Services on an "as is" basis. Customers understand that Privy does not provide any representation or warranty whatsoever that:
- The use of the Enterprise Suite Service and the Privy Services will always be timely, uninterrupted, or free from any alteration, addition, deletion, transmission, damage, loss, transfer, or concealment caused by the intentional, unauthorized, or unlawful acts of any party;
- the Enterprise Suite Service and the Privy Services will remain operational and compatible with any device or system that is not provided or owned by Privy; and/or
- the Enterprise Suite Service and the Privy Services will always meet the Customer's expectations.
- Customers understand that the Enterprise Suite Service and the Privy Services may experience disruptions or delays due to the unavailability or disruption of third-party services used by the Customer or due to the malfunction, unavailability, or non-functioning of specific features on the devices used by the Customer. Customers agree to release Privy from any claims, demands, or lawsuits related to the non-execution of instructions by the Customer due to incomplete information provided by the Customer or due to the cancellation or modification of instructions provided to Privy, except where such non-execution of instructions is caused by Privy's intentional or gross negligence.
- Customers agree to release Privy from any claims, demands, and lawsuits arising from any consequences or losses related to: (i) the non-performance or delay of an electronic transaction; and/or (ii) the occurrence of disruptions, delays, changes, or unavailability of the Enterprise Suite Service and the Privy Services (including in cases where Privy is unable to execute or continue some or all of the Customer's instructions or communications to Privy through the Privy Site and/or Application), caused by events or circumstances beyond Privy's control, including but not limited to natural disasters, wars, riots, government policies, banking system failures, monetary crises, changes, additions, reductions, transmissions, damages, losses, transfers, or concealment of actions on systems, devices, or the Enterprise Suite Service and the Privy Services caused by intentional or unauthorized actions of a party, disruptions or unavailability of third-party services including internet, power, telecommunications networks, and electricity supply on a continuous basis, or other circumstances beyond Privy's control.
- Customers agree that Privy is not responsible for any consequences or losses arising from the above-mentioned circumstances, including but not limited to: (i) data loss; (ii) loss of income, profits, or other earnings; and/or (iii) loss, damage, or injury arising from the Customer's use of the Enterprise Suite Service.
- Customers agree to release Privy from all claims, demands, lawsuits, and damages arising from:
- Privy's use of information, Personal Data, Documents, and/or instructions for the provision of the Enterprise Suite Service and the Privy Services pursuant to these Terms of Use, or pursuant to any consent, acknowledgement, authority, power of attorney, and/or rights granted by the Customer to Privy;
- the provision of information, Personal Data, Documents, and/or instructions by the Customer to Privy in violation of any applicable laws or regulations, the rights (including intellectual property rights) of any third party, or any contract, agreement, representation, decision, or other document to which the Customer is a party or by which the Customer is bound;
- the unlawful use of the Enterprise Suite Service and the Privy Services, violation of laws and regulations, rights (including intellectual property rights) of any other party, or breach of contracts, agreements, statements, decisions, or any documents in which the Customer is a party or bound by, or violation of these Terms of Use.
- The Customer agrees that any violation committed by the Customer in connection with the use of the Enterprise Suite Service and the Privy Services under these Terms of Use, including but not limited to violations of intellectual property rights and/or attempted hacking actions, will result in the Customer waiving their right to use the Enterprise Suite Service.
- The Customer understands and agrees that any risks, consequences, and liabilities arising from the misuse, unauthorized use, or use that is inconsistent with the Customer's internal policies in relation to any Employee Account, any Electronic Certificate affiliated with the Customer, and/or the use of the PrivyPal Service by any User within the Enterprise Suite Service shall be the sole responsibility of the Customer. Accordingly, the Customer hereby releases and holds harmless Privy from and against any and all claims, demands, legal actions, and damages arising in connection therewith.
- The Customer understands and agrees that any use of the PrivyPal Service by a User within the Customer's Enterprise Account, including but not limited to the selection of Electronic Documents, the submission of processing instructions, and the use or reliance upon any output generated by the PrivyPal Service, shall be entirely under the Customer's authority and control. Accordingly, any risks, consequences, liabilities, losses, or damages arising from such use shall be the sole responsibility of the Customer, and the Customer hereby releases and holds harmless Privy from and against any and all claims, demands, legal actions, and/or damages arising in connection therewith.
11.Termination of Enterprise Account
- The Customer's Enterprise Account will remain active for the duration of the Service Period unless the Customer submits a written request to the email address provided by Privy in these Terms of Use to close or terminate the use of the Customer's Enterprise Account.
- Privy, at its sole discretion, may close or terminate the use of the Customer's Enterprise Suite Service if the Customer violates these Terms of Use, engages in activities that may cause losses to Privy, or poses a security threat to Privy's systems, Enterprise Suite Service, or other Customers. Privy may delete the Customer's Personal Data in the Privy Electronic System related to the Enterprise Suite Service if:
- The Customer closes or terminates the use of the Customer's Enterprise Suite Service, and the storage period of personal data in the Electronic System based on other applicable laws has elapsed; or
- There is a court order with legal force to delete Personal Data from the Privy Electronic System at the request of the Data owner. Personal Data that has been deleted by Privy cannot be restored.
- The Personal Data that has been deleted by Privy cannot be restored.
- In the event that the Enterprise Account is closed or the use of the Enterprise Suite Service is terminated, whether at the Customer's request or pursuant to these Terms of Use, the Customer understands and agrees that all fees paid in connection with the Enterprise Suite Service are non-refundable and shall not be reimbursed or compensated in any form whatsoever, unless otherwise agreed in a written agreement between Privy and the Customer.
12.Termination of Privy Account by the User
- The User is entitled to close their Privy Account in accordance with the applicable provisions under the Privy Personal Terms of Use.
- The closure of a Privy Account by the User as referred to in paragraph (a) shall result in the automatic revocation of all Electronic Certificates owned by the User, including any Electronic Certificates affiliated with the Customer, and such certificates may no longer be used.
- The Customer acknowledges and agrees that the closure of a Privy Account by the User is an action beyond Privy’s control and may have an impact on the Customer’s operations, business processes, or use of the Enterprise Suite Service.
- The closure of a Privy Account by the User shall not reduce, eliminate, or otherwise affect the number of Employee Accounts paid for by the Customer, and such Employee Accounts shall remain available for use by the Customer in accordance with these Terms of Use.
- Any risks, legal, administrative, or operational consequences arising from the closure of a Privy Account by the User, including but not limited to the revocation of Electronic Certificates affiliated with the Customer, shall be the responsibility of the Customer and/or the User in accordance with the applicable legal relationship between the parties.
13.User Customer–User Legal Relationship
- The Customer acknowledges and agrees that the participation of each User in the Enterprise Suite Service is based entirely on the legal relationship between the Customer and the User, including but not limited to employment relationships, assignments, delegation of authority, limitations of authority, and the User’s responsibilities in their capacity as part of the Customer.
- Any use of an Employee Account, an Electronic Certificate affiliated with the Customer, an enterprise profile, and/or the Enterprise Suite Service by a User, including but not limited to the signing of Electronic Documents, shall be carried out pursuant to the Customer’s authority, internal policies, and control. Accordingly, any actions taken by the User in using the Employee Account, the Electronic Certificate affiliated with the Customer, the enterprise profile, and/or the Enterprise Suite Service shall be the sole responsibility of the Customer based on the applicable legal relationship between the Customer and the User in accordance with the applicable laws and regulations.
- The Customer acknowledges and agrees that Privy acts solely as a technology service provider and is not a party to any employment relationship, agency relationship, or other legal relationship between the Customer and the User, including but not limited to any relationship relating to the content, purpose, implementation, or legal consequences of Electronic Documents executed by the User.
- The Customer understands and agrees that the use of the PrivyPal Service by a User registered as an Employee Account forms part of the exercise of authority and the legal relationship between the Customer and the User. Any actions taken by the User in using the PrivyPal Service, including but not limited to the processing of Electronic Documents and the use of any output generated thereby, shall be the sole responsibility of the Customer based on the Customer’s authority, internal policies, and the applicable legal relationship between the Customer and the User.
- Any disagreement, objection, claim, demand, or dispute arising between the Customer and the User in connection with the use of the Enterprise Suite Service shall be resolved directly between the Customer and the User without involving Privy as a party to such dispute.
- Where there is a legal obligation or a lawful request from a competent authority, Privy may provide relevant data, system records, and/or technical information in accordance with applicable laws and regulations, without positioning Privy as a party to any legal relationship or dispute between the Customer and the User.
14.Applicable Law and Dispute Resolution
- These Terms of Use are governed and interpreted in accordance with the laws of the Republic of Indonesia.
- The Customer and Privy agree that any disputes or disagreements arising from or relating to matters regulated in these Terms of Use (including any disputes or disagreements arising from unlawful acts or violations of one or more terms and conditions in these Terms of Use) ("Disputes") will be resolved as follows:
- Either party, whether the Customer or Privy ("First Party"), must provide written notice to the other party ("Second Party") of the occurrence of the Dispute ("Dispute Notice"). The Dispute must be resolved amicably within a maximum period of thirty (30) calendar days from the date of the Dispute Notice ("Amicable Settlement Period");
- If the Dispute cannot be resolved amicably by the end of the Amicable Settlement Period, the First Party and the Second Party agree that the Dispute will be referred to and settled by the Indonesian National Arbitration Board ("BANI") according to the arbitration procedure rules at BANI's address at Wahana Graha Floors 1 and 2, Jl. Mampang Prapatan No. 2 Jakarta 12760, under the following conditions:
- The language used in arbitration is Indonesian;
- The place of arbitration is in Jakarta, Indonesia;
- The First Party and the Second Party will jointly appoint one (1) arbitrator who will act as the sole arbitrator to settle the dispute;
- The arbitration costs and legal fees shall be borne by the losing party; and
- The arbitral award is final and binding on the First Party and the Second Party.
15.Language
In the event that these Terms of Use are displayed in various language options and there is inconsistency between one language and another, the Indonesian language text shall prevail.
16.Severability
In the event that any provision of these terms cannot be enforced, the remaining provisions shall not be invalidated and shall continue to be effective to the fullest extent. Privy has the right to replace and/or amend the null provision with another provision as permitted by applicable laws and regulations.
17.Contact and Notifications
- Any notifications from Privy to the Customer will be announced through the Privy Site and/or Application and sent via email or SMS to the Customer's registered email address or phone number associated with the Privy Account or Enterprise Suite.
- Any notifications from the Customer to Privy shall be effective when received by Privy via email at helpdesk@privy.id and/or through physical documents sent to PT Privy Identitas Digital with the address CIBIS NINE, 8th floor, Jl. T.B. Simatupang No. 2, RT 001, RW 005, CIlandak Timur, Pasar Minggu, South Jakarta 12560, Indonesia.
