Affiliated Electronic Certificate Terms and Conditions

These Terms and Conditions govern the use of Electronic Certificates affiliated with a legal entity or business entity (“Enterprise”) within the Privy Enterprise Suite Service (“Terms and Conditions”). These Terms and Conditions apply solely to Users who receive an invitation from an Enterprise to join as an Employee Account and to use the Enterprise Suite Service. These Terms and Conditions do not apply to Users who use only the Privy Personal Service.
These Terms and Conditions form an integral and inseparable part of the Terms of Use of the Enterprise Suite Service and apply specifically in the context of the use of Electronic Certificates affiliated with the relevant Enterprise.
Unless expressly stated otherwise, capitalized terms used in these Terms and Conditions shall have the same meanings as those defined in the Privy Personal Terms of Use and the Enterprise Suite Terms of Use.
By accepting the invitation to join the Enterprise Suite Service as an Employee Account from an Enterprise and/or by using the Enterprise Suite Service, the User declares that they have read, understood, and agreed to the following Terms and Conditions:
1.Access and Scope of Services
The User understands that by joining an Enterprise, the User is granted access to certain services, features, and functionalities provided by Privy for the operational purposes of the Enterprise. Such access is limited in nature and may only be used through the Employee Account and the Electronic Certificate affiliated with the Enterprise, in accordance with the role, position, or authority lawfully granted by the Enterprise. The User is prohibited from using the services beyond the scope of authority granted.
2.Invitation and Participation in the Enterprise Suite Service
The User may accept or decline an invitation from an Enterprise to join the Enterprise Suite Service as an Employee Account.
3.Identity and Account Ownership
- The identity provided by the User and associated with the Employee Account, including the Personal Data registered through the User’s Privy Account, is accurate, valid, and belongs to the User.
- In the event of any changes to the provided identity, the User may notify Privy through the contact details specified in Privy’s Privacy Notice.
- The Employee Account is personal and restricted, and may not be used, shared, transferred, or accessed by any other party.
- The User is responsible for maintaining the security of their Employee Account and for all activities carried out through the account in their capacity as part of the Enterprise.
- The User’s Personal Data processed within the Enterprise Suite Service is protected in accordance with applicable personal data protection laws and regulations.
4.Electronic Certificates Affiliated with the Enterprise
The User understands and agrees that by accepting the invitation and joining the Enterprise, the User is deemed to have submitted an application for the issuance of an Electronic Certificate affiliated with the relevant Enterprise, and Privy shall issue such Electronic Certificate in accordance with applicable provisions.
5.Data Access and Management by the Enterprise
- Data, documents, and signing activities carried out by the User in their capacity as part of the Enterprise may be accessed, managed, or monitored by the Enterprise’s Admin or authorized parties, in accordance with the Enterprise Suite Service Terms of Use and/or contractual documents between Privy and the Enterprise; and
- Privy may process and disclose such data to the Enterprise for operational, audit, compliance, or other legitimate purposes.
6.Termination of Access and Revocation of Electronic Certificates
- Privy, upon request of the Enterprise and/or at its own discretion, is entitled to terminate the User’s access to the Enterprise Suite Service, including revoking the affiliated Electronic Certificate, among others, if:
- the User is no longer registered or authorized as part of the Enterprise;
- there is a violation of these Terms and Conditions; or
- there are legal obligations, requests from competent authorities, or Privy’s internal policies requiring such action.
- The User understands that even after the User’s access to the Enterprise Suite Service has been terminated and/or the affiliated Electronic Certificate has been revoked, certain Electronic Document data and history may continue to be retained by Privy and/or the Enterprise in accordance with applicable laws and relevant data retention policies.
- Termination of the User’s participation in the Enterprise Suite Service does not affect the validity of Electronic Documents previously signed by the User in accordance with the authority granted.
7.Amendments to the Terms
Privy reserves the right to amend these Terms and Conditions, in whole or in part, from time to time without prior notice to the User, and such amendments shall take effect upon being determined and/or published by Privy. The User shall be deemed to have agreed to such amendments by remaining registered or continuing to use the Employee Account within the Enterprise Suite Service after the amendments take effect. If the User does not agree to the amended Terms and Conditions, the User may contact Privy to terminate their Privy Account.
8.Relationship Between the User and the Enterprise and Dispute Resolution
- The User’s participation in the Enterprise Suite Service is based on the legal relationship between the User and the inviting Enterprise, including assignments, authority, and responsibilities in the User’s capacity as part of the Enterprise;
- Any use of the affiliated Electronic Certificate, Employee Account, or Enterprise Suite Service by the User, including the signing of Electronic Documents in such capacity, is carried out under the Enterprise’s policies and authority and gives rise to legal consequences in accordance with applicable laws;
- Privy acts solely as a technology service provider and is not a party to any employment relationship, agency relationship, or other legal relationship between the User and the Enterprise, including with respect to the content, purpose, or legal consequences of any Electronic Documents signed;
- Any disagreement, objection, or dispute arising between the User and the Enterprise in connection with the use of the Enterprise Suite Service shall be resolved directly between the User and the Enterprise; and
- Privy may provide relevant data, system records, or technical information as part of fulfilling legal obligations or lawful requests from competent authorities, without positioning Privy as a party to such disputes.
9.Applicability of Other Terms
These Terms and Conditions form an integral part of the Enterprise Suite Service Terms of Use.
